The phrase LLC license refers to something that doesn't exist, which is why searching for it ends up with such confusing results. Forming an LLC simply doesn't involve a licence of any sort, and getting a licence doesn't make you an LLC.

What people are most often looking for falls into two categories. One is: what do I file to create the company, which is your Articles of Organisation with the Secretary of State. The other is: what do I need to actually operate, which is a business license that depends entirely on your work and location.

Most businesses require both, and they come from different places, have different costs and renewal schedules. A sole proprietor in the same line of work will need exactly the same licences as you; the LLC simply lowers your risk and tax exposure.

This article covers the difference, what kind of requirements a generic small business would face, where online sellers tend to get caught, and what happens should you operate without one.

The mistake is assuming the state formation was the permission. Someone files their Articles of Organisation, sees an official certificate arrive, and starts trading, not realising the city they operate in has its own requirement, and in many cases their county does too. It surfaces when they apply for something else and get asked for a licence number they don't have.

What Is an LLC License?

There is no single 'LLC license', the term is sometimes used loosely to refer to two different things that new business owners often conflate:

  • LLC formation: registering the LLC entity with the Secretary of State (Articles of Organisation), this is what makes your business an LLC, not a license
  • Business license: a permit issued by a federal, state, or local government authorising a specific type of business activity in a specific location, this is what most people mean when they ask about an 'LLC license'

Most LLC owners need both: the LLC formation (one-time, with the state) and one or more business licenses (ongoing, from the relevant government authority).

Do You Need a Business License for an LLC?

It depends on:

  • Your industry: regulated industries (food service, healthcare, financial services, construction, childcare, real estate brokerage, legal services) require professional or industry-specific licenses regardless of business structure
  • Your location: most cities and counties require a general business license or occupational tax certificate for any business operating within their boundaries, including home-based businesses
  • Federal requirements: certain activities require federal licenses (alcohol, firearms, transportation, radio broadcasting, import/export of controlled goods)
  • Online businesses: even fully remote or eCommerce businesses may need a home occupation permit (if operating from a residence) and may need sales tax permits in states where they have nexus

How to Get an LLC License

  • Step 1: Form the LLC, file Articles of Organisation with your state Secretary of State and get an EIN from the IRS (free at irs.gov)
  • Step 2: Identify required licenses, check your city/county website for a general business license requirement; check your state licensing board for industry-specific licenses; check the SBA.gov license search tool for federal requirements
  • Step 3: Apply for each required license, applications vary by jurisdiction; most are online; some require inspections or professional certifications
  • Step 4: Obtain a sales tax permit if applicable, required in any state where you have sales tax nexus (physical presence, employees, or sufficient economic activity)
  • Step 5: Renew annually, most licenses require annual renewal; set calendar reminders as missed renewals can result in penalties or loss of good standing

What actually applies to your business

Four things determine it.

What you do. Regulated activities carry licensing requirements regardless of structure, food service, healthcare, construction, childcare, real estate, financial services, anything involving professional certification. If your work is regulated, you already know it; what people miss is how specific the requirements get within a category.

Where you do it. Most cities require a general business licence or occupational tax certificate for any business operating within their limits, and many counties have their own on top. This is the layer that catches people, because it's local, unglamorous and nobody mentions it during formation. Requirements and costs vary enormously between neighbouring municipalities.

Whether the federal government is involved. A relatively short list of activities requires federal licensing: alcohol, firearms, commercial transportation, broadcasting, aviation, certain imports and controlled goods. Most small businesses touch none of it.

Where you operate from. Running a business from home can trigger a home occupation permit depending on your municipality, and in some places on zoning rather than on business activity. Common in cities, absent in plenty of other places. Worth one check with your city planning or clerk's office rather than an assumption either way.

How much does it cost to license an LLC?

Formation and licensing are separate budgets. Articles of Organisation run $50 to $500 by state. A general business licence is often free to around $100 at city or county level. Industry licences vary widely: a food handler permit might be $15 to $50, a contractor's licence several hundred to over a thousand. Cost your specific requirements rather than working from a combined range, since the variation between a consultancy and a restaurant is enormous.

Do online businesses need a business licence?

Frequently yes. An online business operates from a physical location, and that city or county usually has a general requirement, sometimes with a home occupation permit on top. Separately, you'll have sales tax registration obligations in any state where your sales create nexus which for a business selling nationally can be several states.

Can I operate without a business licence?

For most unregulated businesses it means fines and backdated fees once discovered, and possibly an order to stop until you comply. In regulated fields it's considerably more serious and can carry criminal exposure. Either way it tends to surface at a bad moment, a loan application, an insurance claim, an acquisition. Check before you start; it's usually one phone call.

Does forming an LLC mean I'm licensed?

No. Formation creates the entity; a licence permits the activity. They come from different authorities and satisfy different requirements. A sole proprietor doing your work needs the same licences you do, the LLC changes your liability and tax treatment, not your regulatory position.

Do I need a licence in every state I sell into?

Usually not a business licence, which is generally tied to where you operate from. What you may need is sales tax registration in states where you have nexus, and that can arise from sales volume alone. The two questions get conflated constantly treat them separately.
