Wyoming LLC: Why It's Popular and How to Form One

Why Wyoming Has Become a Popular LLC State, Wyoming LLC Advantages, and Wyoming LLC vs Delaware LLC: The Key

Wyoming LLC: Why Wyoming Has Become a Popular LLC State, Wyoming LLC Advantages, Wyoming LLC vs

Wyoming has become a common choice for small company formation, largely on cost and privacy.

It is a reasonable default for an owner-managed business and a poor one for a company that intends to raise institutional money, because the investors in that conversation generally expect something specific and it is not this.

This covers why the state became popular, what it actually offers, how it compares with the usual alternative, when each is the better choice, the formation steps, and how it works for founders based outside the country.

Wyoming passed the first LLC statute in the US in 1977 and has continuously updated its laws to be among the most business-friendly in the country. Today, Wyoming LLCs attract founders, online business owners, and asset-protection-focused entrepreneurs who do not need VC funding.

Choose the state for the structure you will actually have. Wyoming is a reasonable default for an owner-managed company that will not raise institutional money. If outside investment is the plan, ask what those investors expect before forming anything.

Wyoming LLC Advantages

1. No State Income Tax

Wyoming has no state income tax for individuals or corporations. LLC members pay federal income tax on their share of profits (pass-through), but owe nothing to Wyoming. Compare to California, where LLCs pay both the $800 minimum franchise tax plus a tiered gross receipts fee above $250,000 in revenue.

2. Low Formation and Annual Fees

FeeAmount
Articles of Organization (online)$100
Annual License Tax (minimum)$60 or 0.0002 x assets in Wyoming, whichever is greater
Annual report filing feeIncluded in annual license tax
Registered agent (annual)$50-$150

Total annual cost for a simple Wyoming LLC: $110-$210. Compare to Delaware ($300 franchise tax + $50-200 registered agent = $350-500/year).

3. Strong Asset Protection, Charging Order Protection

A charging order is the only remedy a creditor can pursue against an LLC member's interest. Wyoming's charging order protection is considered among the strongest in the US:

  • Creditor gets a charging order (right to receive distributions if and when made) but cannot foreclose on the membership interest
  • Creditor cannot vote, manage, or force distributions
  • Single-member LLCs in Wyoming also receive charging order protection (unlike some states)
  • Wyoming courts have upheld this protection even for single-member LLCs

Pro Tip: Asset protection from a Wyoming LLC is strongest when the LLC is properly maintained (separate accounts, annual filings) and the charging order protection is tested in Wyoming courts, not your home state.

4. Privacy: No Public Member Names Required

Wyoming does not require member names on the Articles of Organization. Public filings show only the LLC name, registered agent, and organizer (which can be the registered agent service). This provides a significant layer of privacy compared to states that require member disclosure.

5. No Franchise Tax

Wyoming does not have a franchise tax (unlike Delaware). The annual license tax ($60 minimum) is far simpler and cheaper than Delaware's franchise tax calculation.

6. Flexible Operating Agreement

Wyoming allows LLCs to have extremely flexible operating agreements. The Act provides default rules but allows almost unlimited customization, including:

  • Manager-managed or member-managed structures
  • Custom profit/loss allocation independent of ownership percentage
  • Flexible voting rights and class structure
  • Custom dissolution and transfer provisions

How to Form a Wyoming LLC: Step-by-Step

Step 1: Choose a Name

Name must be unique in Wyoming and include 'Limited Liability Company', 'LLC', or 'L.L.C.' Search availability at wyomingsos.gov.

Step 2: Appoint a Registered Agent

Must have a physical Wyoming address. Required before filing. If you do not have a Wyoming address, use a registered agent service ($50-$150/year).

File online at sos.wyo.gov. Include: LLC name, registered agent, and organizer. You do not need to list member names. Filing fee: $100. Processing: same day online.

Step 4: Draft an Operating Agreement

Wyoming law does not require filing an operating agreement, but you must have one for bank accounts, investor diligence, and protecting your asset protection structure. Include:

  • Member names and ownership percentages
  • Manager designation (if manager-managed)
  • Voting rights
  • Distribution procedures
  • Transfer restrictions

Step 5: Get an EIN

Wyoming for International Founders

Wyoming LLCs work well for non-US-resident founders who want a US business entity without plans for US venture funding. Same rules apply as other US LLCs:

  • Form 5472 + Form 1120 filing required (foreign-owned LLC), $25,000 penalty if missed
  • No SSN required for formation or EIN (Form SS-4 by fax)
  • Mercury and Relay bank accounts accessible remotely
  • Comply with your home country's foreign investment rules (India: FEMA/ODI)

Frequently Asked Questions

Is a Wyoming LLC better than a Delaware LLC for asset protection?

Wyoming's charging order protection for single-member LLCs is considered stronger than Delaware's. Delaware has not clearly extended charging order protection to single-member LLCs by statute. Wyoming has. If asset protection is the primary goal, Wyoming is preferred.

Can I form a Wyoming LLC if I do not live in Wyoming?

Yes. You do not need to live in or even visit Wyoming. The entire process is done online. You need a Wyoming registered agent with a physical Wyoming address.

How do I pay Wyoming taxes?

Wyoming has no state income tax. Your only Wyoming-specific obligation is the annual license tax ($60 minimum, filed with your annual report).

Can I convert a Wyoming LLC to a Delaware LLC or C-corp later?

Yes, through a conversion or domestication process. Delaware allows foreign LLCs to domesticate as Delaware LLCs. Converting to a C-corp is also possible but is a taxable event. Do this with attorney assistance.

Is a Wyoming LLC good for a real estate holding company?

Yes, Wyoming LLCs are very popular for holding real estate due to strong asset protection, low cost, and privacy. However, if the real estate is in another state, you may need to register the LLC there as a foreign entity anyway, which reduces the privacy benefit.
